On March 8, 2010, the Federal Trade Commission (the “FTC”) filed a complaint against LifeLock and CEO Todd Davis, alleging that the Company issued misleading advertisements and guarantees regarding its identify theft protection services. In particular, it is alleged the Company misled investors and consumers by suggesting that LifeLock provided complete protection against all forms of identity theft, when it in fact provided no real protection. That month the Company entered into a settlement order with the FTC mandating that the Company no longer engage in deceptive marketing practices. On February 19, 2014, LifeLock announced it had met with the FTC regarding alleged non-compliance with the settlement.
